Terms & Conditions

In the submission of any material (the “Submitted Material”) for consideration for representation or for any of the services (the ‘Services’) you acknowledge that such submission is pursuant to the following terms:

You are submitting the Submitted Material voluntarily and not in confidence and no confidential relationship is intended or created between you and Imagine Talent by the submission of the Submitted Material. Imagine Talent receives a high volume of Submitted Material, and you recognise that Imagine Talent Ltd, Imagine Talent’s agents, employees, contractors and clients (collectively ‘Imagine Talent’) is constantly developing new ideas, scripts, projects and material (‘Material’). Including any Material created by Imagine Talent, you recognise that other persons may have submitted to Imagine Talent or others, or made public, or may in the future create and submit, or make public, similar or identical Material to your Submitted Material, that Imagine Talent may have the right to use, and you understand that you will not be entitled to any compensation because of the use of other similar or identical Material by Imagine Talent.

You understand and agree that Imagine Talent’s use of Material containing features or elements similar or identical to those contained in the Submitted Material will not entitle you to any compensation. You hereby release Imagine Talent of and from any and all claims, demands and liabilities of every kind whatsoever, known or unknown, that may arise in relation to your warranties and representations herein, and/or in relation to the Submitted Material or by reason of any claim now or hereafter made by you that Imagine Talent has used or appropriated the Submitted Material. Furthermore, you hereby release Imagine Talent’s subsidiaries and affiliates, and it’s or their employees, agents, contractors, clients, licensees, assigns and financiers, from any and all claims that any of them have had, or may in the future have, access to the Submitted Material other than through Imagine Talent. You represent and warrant that you are the sole owner of all rights in and to the Submitted Material (except to the extent based on underlying rights as expressly disclosed to Imagine Talent), which is free of all claims or encumbrances, and that the Submitted Material is novel and original with you and does not defame, infringe or violate the rights of privacy or any other rights of any third party.

By supplying text, images and other data to Imagine Talent for inclusion in any artwork, you declare that you hold the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with you, or rightful copyright or trademark owner. By supplying images, text, or any other data to Imagine Talent, you grant Imagine Talent permission to use this material freely in the pursuit of the design and the Services. You indemnify and hold Imagine Talent harmless from any and all claims, liabilities, damages, costs, or expenses arising from your failure to obtain all necessary copyrights, permissions or other required consents. The use of any images supplied by Imagine Talent in provision of the Services will remain the copyright of Imagine Talent.

Imagine Talent grants you a royalty-free, global licence to use any design or artwork created by Imagine Talent or its contractors on behalf of you. The intellectual property rights in all such works shall remain the property of Imagine Talent and/or its suppliers and contractors, and are licensed to you for use as specified here. All design work – where there is a risk that another party might make a claim, should be registered by you with the appropriate authorities prior to publishing or first use and searches and legal advice sought as to its use. Imagine Talent will not be held responsible for any and all damages resulting from such claims. Imagine Talent is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. You agree not to hold Imagine Talent responsible for any such loss or damage. Any claim against Imagine Talent shall be limited to the relevant fee(s) paid by you in the provision of the specific Services.

You have retained a copy of the Submitted Material, and you release Imagine Talent from liability for loss of or damage to the Submitted Material. If you do not adhere to the page maximums, or do not provide your script or relevant documents within a week of booking a Service, we reserve the right to cancel your booking with no refund. These Terms & Conditions shall be governed by English Law.
